What we handle

Three phases, each with a defined output and a stated timeline.

Phase 1 — Formation

State registration

Choice of state discussed with you, Articles of Organization filed, registered agent appointed for the first year, operating agreement prepared. State filing typically takes 3 to 5 business days; the complete sequence including the EIN usually runs 10 to 15 days.

Phase 2 — Identity & banking

EIN and account opening

Without an SSN or ITIN, the IRS does not issue an EIN online. We file by phone, which usually takes about a week. We then prepare and support your application to a US business account provider such as Mercury, Wise or Relay.

Phase 3 — Ongoing

Annual filings

A foreign-owned single-member LLC generally files Form 5472 with a pro forma Form 1120 each year, alongside the state's annual report and registered agent renewal. Year one is included in the Premium engagement; later years are quoted separately.

What a US LLC does not do

We would rather lose a sale than sell you a structure that does not fit. This is the part most sites leave out.

It does not move your tax residence. If you live in your home country and run the business from there, your domestic rules on place of effective management, personal income tax, social contributions and foreign-account reporting continue to apply. A US filing obligation is added to them, not substituted for them.

It is not a way to invoice invisibly. Most jurisdictions have anti-abuse provisions aimed precisely at a resident operating through a foreign entity. In France, article 155 A of the Tax Code is the one to know. Comparable doctrines exist elsewhere.

It does not remove filing duties when there is no profit. Form 5472 is due on reportable transactions, not on income. The penalty for missing it starts at $25,000 per year.

Where an LLC genuinely fits — non-resident owners, internationally distributed clients, USD payment rails, contractors with no fixed base — we say so plainly and show the numbers. Where it does not, we tell you before you pay, and we say what would fit better.
